These Terms and Conditions ("Terms") govern your download, purchase and use of the Animacious desktop application (the "Software") and the website at animacious.com (the "Website"). The Software and Website are provided by Animacious (Proprietor: Salil Anand Ponde), 2/30 Dnyanyog, Vazira Naka, Borivali West, Mumbai 400091, India ("Animacious", "we", "us" or "our").
1. Acceptance of terms
By downloading, installing, purchasing or using the Software, you agree to be bound by these Terms. If you do not agree, do not download, install or use the Software. If you are using the Software on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.
2. Software licence
Subject to these Terms and payment of the applicable fee, we grant you a non-exclusive, non-transferable, non-sublicensable, perpetual licence to install and use the version of the Software you purchased, and any updates released during your included update period, as follows:
- Personal licence: use by one named individual on up to two (2) devices that they own or control. Personal licences may be used for individual creative work, including monetised personal social media channels.
- Commercial licence: use by one named individual per seat on up to three (3) devices, including for work performed for a business, employer or clients.
Your licence is linked to your email address. Each licence is attached to the email address used at purchase (or, for Commercial seats, the email address the seat is assigned to). To use the licensed version of the Software, you must sign in to the Software with that email address. Signing in is used only to verify your licence and enforce the device limits above. It does not give us access to your media or projects.
You are responsible for keeping your sign-in credentials secure and for all activity under your account. You can sign out of a device at any time to free it up for use on another device.
Any free or trial version of the Software is licensed for evaluation purposes only and may have limited features or watermarked output.
3. Restrictions
You may not, and may not permit others to:
- copy, sell, rent, lease, sublicense or distribute the Software, except as expressly permitted by these Terms;
- share your account or sign-in credentials with anyone else, or allow more people or devices to use a licence than it permits;
- reverse engineer, decompile or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
- remove, alter or circumvent any licence checks, copyright notices or technical protection measures;
- use the Software to create content that is unlawful, infringes the rights of others, or violates any applicable law.
4. Purchases & payment
Prices are displayed on the Website in US dollars unless otherwise stated and may exclude applicable taxes, which are calculated at checkout. Payments are processed securely by our third-party payment provider. We do not receive or store your full card or bank details.
Where our payment provider acts as the merchant or reseller of record, your purchase is also subject to that provider's terms of sale, and they may appear as the seller on your receipt and bank statement.
Licences are one-time purchases and are not subscriptions. You will not be charged again unless you choose to buy a new licence or an upgrade.
Your licence is activated on your email address immediately after payment, as described in our Delivery Policy.
5. Refunds
We offer a full refund on any purchase within 14 days of the date of purchase. Please see our Refund Policy for details. When a refund is issued, the licence is removed from your account and the Software reverts to its unlicensed state.
6. Your content
You keep all rights to the videos, images, audio, projects and other materials you import, create or export with the Software ("Your Content"). The Software processes Your Content locally on your device, and we do not receive, access, store or claim any ownership of it.
You are solely responsible for Your Content and for making sure you have the rights needed to use any material you edit with the Software. You are also responsible for keeping backups of your projects and media.
7. Updates & support
Each licence includes free updates for one (1) year from the date of purchase. After that period you may continue to use the latest version released during your update period indefinitely, or purchase an upgrade to receive newer versions. We provide email support on a reasonable-efforts basis.
8. Intellectual property
The Software is licensed, not sold. All rights, title and interest in the Software, Website, the Animacious name and logo, and all bundled presets, templates and assets remain with Animacious and its licensors. Animation presets and bundled assets may be used freely within videos you produce with the Software, but may not be extracted or redistributed on their own.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, or that it will be compatible with every hardware or software configuration.
10. Limitation of liability
To the maximum extent permitted by law, Animacious will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, footage, profits or revenue, arising out of or related to your use of or inability to use the Software. Our total liability for any claim relating to the Software is limited to the amount you paid for your licence.
Nothing in these Terms limits any liability that cannot be limited under applicable law, or any statutory rights you have as a consumer.
11. Termination
Your licence remains in effect until terminated. It will terminate automatically if you breach these Terms or if you receive a refund, and we may suspend the account associated with it. On termination, licensed features are disabled on all signed-in devices. Sections 6, 8, 9, 10 and 12 survive termination.
12. Governing law
These Terms are governed by the laws of India, without regard to its conflict-of-law rules. Any disputes will be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India, unless mandatory consumer protection law in your country of residence provides otherwise.
13. Changes to these terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above. Changes do not apply retroactively to purchases already made.
